Expert Partner Terms & Payout Policy
The agreement between Last Flight Solution Limited and the independent consultants who deliver sessions on Bharat Kist. It covers what you are agreeing to do, what you are paid, exactly when the money reaches you, and what happens when something goes wrong. Read it before you apply — the whole point of publishing it is that nothing in it should be a surprise later.
1. Who this agreement is between
This agreement is between LAST FLIGHT SOLUTION LIMITED ("Bharat Kist", "we", "us"), Public Limited Company, CIN U96090UT2026PLC020874, with its registered office at Dhakia Gulaboo Road, Dhakia No. 1, Near Utkarsh Bank, Tanda Ujjain, Kashipur, Udham Singh Nagar, Uttarakhand 244713, and you, an independent consultant approved to deliver sessions on the platform ("Expert").
It takes effect when your application is approved and you accept these terms, and it continues until either side ends it under section 14.
Clients who buy sessions are governed by the separate Terms & Conditions. Where the two documents describe the same event — a cancellation, for instance — they are written to agree with each other. If they ever appear not to, tell us and we will fix the drafting rather than argue about it.
2. The nature of the relationship
You are an independent professional providing services through the platform. You are not an employee, worker, agent, partner or joint-venturer of Bharat Kist, and nothing in this agreement creates any of those relationships.
In practical terms:
- You choose your own availability and decide which sessions to accept. There is no minimum number of hours or sessions, and no shift you can be assigned to.
- There is no exclusivity. You may work for anyone else, including another platform, provided you comply with section 5.
- You receive no salary, no provident fund, no gratuity, no leave, no insurance and no guaranteed volume of work. You are paid for sessions you actually deliver, and nothing else.
- You are responsible for your own taxes, your own professional indemnity cover if you choose to carry it, and your own equipment and internet connection.
You must not describe yourself as an employee, officer or representative of Bharat Kist, or hold yourself out as able to bind us to anything.
3. Eligibility and verification
Before you are listed, you must satisfy our eligibility criteria and complete verification. The criteria are published on the Register as an Expert page and, in summary, require relevant experience, a verifiable qualification, an Indian PAN and Aadhaar, and a bank account in your own name.
Verification is carried out through Cashfree's regulated verification suite, not by us directly. It consists of:
- mobile number verification by OTP;
- validation of your PAN against the Income Tax database, with a name match;
- identity confirmation by Aadhaar OTP;
- a penny-drop into the bank account you nominate, to confirm it exists and is in your name;
- a manual review of your qualification and experience by a person at Bharat Kist.
We receive the pass or fail outcome of the automated checks and the masked reference we are required to retain. We do not see, store or transmit your Aadhaar number. How the resulting data is handled is set out in our Privacy Policy.
Verification is free. We will never ask you to pay a registration, listing, training, subscription or payout fee, and we will never ask you for a password, a card PIN, a CVV or an OTP outside the Cashfree verification flow itself. Anyone doing so in our name is committing fraud; please report it to support@bharatkist.com.
You must tell us promptly if any verified detail changes — particularly your bank account, since payouts go only to the account that was verified.
4. What you agree to do
You agree to:
- Turn up. Attend every session you have accepted, at the agreed time, from a quiet place on a working connection. If you cannot, tell us as early as you can so the client can be moved rather than let down.
- Advise honestly and within your competence. Give guidance you actually believe is right for that client. If a question is outside your expertise, say so and refer it back to us rather than guessing.
- Deliver the written plan arising from each session within two working days, to the standard and format we provide.
- Promise nothing we do not promise. You must not tell a client that their credit score will reach a particular number, that a loan will be approved, that a negative entry can be removed from a credit report, or that any specific financial outcome is guaranteed. None of those things is within anyone's power to promise.
- Keep what you are told confidential. A client's financial situation is discussed with you and with nobody else. See section 10.
- Never ask a client for a credential. You must not ask for a password, PIN, CVV, OTP, or access to any account, and you must not ask a client to pay you directly or outside the platform.
- Comply with the law, including any professional body whose rules apply to you.
5. No lender commissions — the rule we enforce hardest
The entire value of a Bharat Kist session to a client is that nobody in the conversation is being paid by a bank. Accordingly:
- You must not recommend or steer a client toward any specific lender, NBFC, insurer, broker or financial product.
- You must not accept any commission, referral fee, brokerage, incentive, gift or other benefit from any lender or financial product provider in connection with a client you met through this platform.
- You must not use client information obtained through the platform to generate business for yourself or anyone else, or to solicit the client off the platform.
- You must disclose, at application and whenever it changes, any employment, commission arrangement, directorship or material interest you hold with a lender or insurer. Disclosing one does not automatically disqualify you. Concealing one ends the relationship.
A substantiated breach of this section results in immediate termination under section 12, and forfeiture of any amount not yet earned. It is the one rule on which we do not negotiate.
6. What you earn
Clients pay Bharat Kist for a session at the price published on the Pricing page. Of each session fee actually collected and not refunded:
- You receive 75%.
- Bharat Kist retains 25% as the platform fee.
Out of the platform fee we pay for client acquisition, the payment gateway's charges, your verification, the payout transfers, the platform itself, scheduling and reminders, and the client support and complaints desk. You pay for none of those separately.
At current prices, the 75% share works out at ₹149 for Never Miss an EMI (listed at ₹199), ₹224 for Credit Score Consulting (listed at ₹299), ₹374 for Loan Readiness (listed at ₹499). Where a session is delivered as part of a monthly membership rather than a one-off purchase, your share is calculated on the equivalent listed session price for that service.
We will give you at least 30 days' notice by email before changing the platform fee. If you do not accept the change you may end this agreement before it takes effect, and everything you have already earned is still paid to you in the normal way.
7. Payouts — when the money actually reaches you
This is the section most platforms are vague about, so it is written out in full.
When a fee is earned
A client pays at the point of booking. That money is not yours yet, because the client may still cancel: under the Refund & Cancellation Policy a session cancelled at least 24 hours before its scheduled time is refunded in full.
A session fee is earned and locked to your account once the session has been delivered and the cancellation window has closed.
The payout cycle
- Cut-off: the previous Sunday. Everything earned and locked by then enters that week's payout run. Anything delivered afterwards rolls into the following week.
- Payment day: every Tuesday.
- Amount: the full balance earned in the cycle. There is no minimum payout threshold and no balance is held back or carried forward — whatever you earned in that cycle is what is transferred, however small.
- Method: IMPS, NEFT or UPI, to the bank account verified during your onboarding, through Cashfree Payouts. We cannot pay to an unverified account, to a third party's account, or by any other means.
- Where Tuesday is a bank holiday, the transfer is made on the next working day.
Your statement
Every payout is accompanied by a statement itemising each session included, the client-facing fee, the platform fee, any tax deducted at source, any adjustment under section 9, the net amount, and the transfer reference. If a figure on it does not look right, raise it with us and we will reconcile it with you.
If a transfer fails
A transfer can fail if your account details have changed, the account is dormant, or the bank rejects it. We will tell you, and the amount is held for you — not forfeited — until you have re-verified the account. It is then paid in the next cycle. We never charge you for a failed or re-attempted transfer.
8. Tax
You are responsible for your own income tax. We do not withhold anything beyond what the law requires us to.
Where the Income-tax Act, 1961 requires tax to be deducted at source before a payout, we deduct it and deposit it against your PAN. For payments facilitated through an e-commerce platform this is ordinarily Section 194-O. The rate and the threshold applied are those in force on the date of the payment, and both are itemised on your payout statement so that you can reconcile them against your Form 26AS.
Providing a valid PAN is a condition of being paid, because tax is deducted at a materially higher rate without one.
If you are registered for GST, you remain responsible for your own GST compliance on the services you provide. The platform fee we retain is our consideration and is subject to GST in our hands. Nothing in this section is tax advice; please take your own.
9. Refunds, cancellations and chargebacks
Who bears a refund depends on why it happened.
| What happened | Client outcome | Effect on your payout |
|---|---|---|
| Client cancels 24+ hours before the session | Full refund | None. The fee was never earned |
| Client does not attend, without notice | No refund | You are paid in full |
| Session delivered normally | No refund | You are paid in full |
| Bharat Kist cancels, or a refund is approved as a goodwill gesture on our side | Full refund | None. We bear it, not you |
| You do not attend, or a refund is approved because of your conduct | Full refund | Adjusted against your next payout, after we have put it to you in writing |
| Card chargeback raised by a client | Decided by the card issuer | Held pending the outcome; released to you if the chargeback is defended successfully |
We will never make an adjustment against your earnings without telling you first, in writing, with the reason and the amount, and giving you a chance to respond.
10. Client information and confidentiality
Everything a client tells you is confidential. You may use it only to deliver that client's session and written plan, and you must not disclose it to anyone, use it for your own purposes, or retain it after this agreement ends.
You must not export, copy or store client contact details or financial information outside the tools we provide, and you must not contact a client outside the platform except through channels we have arranged.
You must never ask a client for a password, PIN, CVV, OTP or account access. If a client volunteers one, stop them and tell us.
In handling client personal data you act on our instructions and must comply with the Digital Personal Data Protection Act, 2023 and our Privacy Policy. If you become aware of any loss or unauthorised disclosure of client information, you must tell us immediately — the reporting clock starts when you find out, not when it is convenient.
These obligations survive the end of this agreement.
11. Intellectual property
The platform, our methodology, templates, training material, calculators and brand belong to Last Flight Solution Limited. You are given a limited, non-exclusive, revocable licence to use them solely to deliver sessions, for as long as this agreement lasts.
The written plans you produce for clients using our templates are ours, licensed to the client. Your own pre-existing material remains yours.
You may say publicly that you consult through Bharat Kist. You may not use our name or logo in advertising, on a website, or in any way that implies employment, endorsement or partnership, without our written permission.
12. Suspension and removal
We may suspend your listing, immediately and without notice, where we reasonably believe there is a risk to clients or to the platform — for example a credible allegation of misconduct, a failed or expired verification, or a suspected breach of section 5.
Where we suspend you, we will tell you why, hear your side, and decide within a reasonable time. Amounts you have already earned are still paid to you in the normal cycle unless they are the subject of the very complaint being investigated.
Grounds for permanent removal include: any breach of section 5 (lender commissions); repeated no-shows; a substantiated pattern of client complaints; asking a client for credentials or for off-platform payment; giving guidance that is dishonest or outside your competence; or providing false information in your application.
If you disagree with a suspension or removal, write to support@bharatkist.com and it will be reviewed by Saurabh Chaudhary, Grievance Officer & Managing Director.
13. Liability and indemnity
You are responsible for the guidance you give. You will indemnify Bharat Kist against any claim, loss or penalty arising from your breach of this agreement, your negligence, your dishonesty, or your breach of confidentiality or of any law applicable to you.
Our total aggregate liability to you, however arising, is limited to the total amount payable to you for sessions delivered in the three months before the event giving rise to the claim. We are not liable to you for loss of profit, loss of expected sessions, or any indirect or consequential loss.
Nothing here excludes liability that cannot lawfully be excluded, including for fraud.
14. Term and termination
Either side may end this agreement at any time, for any reason, on seven days' written notice. No penalty applies to either of us for doing so.
We may end it immediately for a material breach, including any breach of section 5.
On termination:
- You must deliver any session already accepted and scheduled within the notice period, or tell us promptly so the client can be moved.
- Everything you have earned is paid to you in the normal cycle, including after your listing has been removed. We do not withhold earned fees as a consequence of termination.
- Sections 10 (confidentiality), 11 (intellectual property) and 13 (liability) continue to apply.
- You must stop using our name, brand and materials.
15. Changes to these terms
We may update these terms. The effective date at the top of this page always reflects the current version.
Where a change affects your commercial position — the platform fee, the payout cycle, or your obligations under section 4 or 5 — we will give you at least 30 days' notice by email before it takes effect, and you may end this agreement before it does. Everything already earned is paid to you regardless.
16. Governing law and disputes
This agreement is governed by the laws of India. Subject to the grievance process below, the courts at Kashipur, Uttarakhand have exclusive jurisdiction.
Please raise any dispute with us first. Almost everything that goes wrong between a platform and a consultant is a reconciliation problem or a misunderstanding, and both are quicker to fix by email than by litigation.
